Governance
ESSI is committed to edifying its constituent populations, to providing a forum for free and open debate, and to reflecting national values.
ESSI has four types of members: founding members, regular members, honorary members, and benefactor members.
1. Founding Members
These individuals established ESSI and are members of the Board of Directors.
2. Regular Members
Regular members are persons who are nominated by at least three (3) founding members and accepted according to the conditions defined by the ESSI Internal Regulations. Regular members pay an annual “active membership fee.”
Regular members may be drawn from the worlds of academia, politics, culture, and the media and are invited to join in recognition of their high academic standing or professional achievements. They offer their knowledge and expertise to ISESS, thereby furthering its intellectual ideals and contributing to its diverse programs.
3. Honorary Members
Honorary members are former regular members who have assisted the development of ESSI and on whom the Board of Directors has decided to confer this status according to the conditions defined by the ISESS Internal Regulations. Honorary members are not eligible for membership of the Board of Directors.
Honorary members provide valuable feedback regarding current trends and expectations within their respective professional communities. They may also undertake project-specific activity in which they identify, prioritize, and mentor the development of research topics undertaken by ESSI researchers.
Honorary members are required to make an original contribution to ESSI activities. These contributions may be through white paper topics presented to the Board of Directors or through direct initiatives involving continuing education, leadership, and development activity.
4. Benefactor Members
Benefactor members are persons who have distinguished themselves through their contributions, gifts, and donations to ESSI and have been awarded this recognition according to the conditions defined by the ESSI Internal Regulations. Benefactor members pay a one-time membership entrance fee and an annual “benefactor member” fee and may attend and vote at General Meetings. They are also eligible for membership of the Board of Directors.
All members, with the exception of honorary members, are required to pay an annual membership fee according to their membership category. These fees will be determined by the Board of Directors.
ADMINISTRATION
ESSI is administered by a Board of Directors.
BOARD OF DIRECTORS
The Board of Directors (the Board) is invested with the most extensive management powers and consists of at least five (5) and at most fifteen (15) members. Board members are elected by a General Assembly of founding, regular, and benefactor members.
The Board is the highest level of ESSI governance. The Board is responsible for governing ESSI by establishing broad policies and objectives; selecting, appointing, supporting, and reviewing the performance of the Chairman of the Board; ensuring the availability of adequate financial resources; approving annual budgets; and accounting to stakeholders for the organization’s performance.
The Board is the most prestigious decision-making organ of ESSI, and advises on strategic, financial, and development issues. The Board is composed of business and government representatives who are integral in assisting with the long-term financing of ESSI. It is expected that Board members will assist in financing ESSI activities through gifts and donations, corporate support in the form of corporate grants, and assistance in development activity.
In addition to intellectual contributions, Board members may also assist through the direct sponsorship of specific events or research on themes of particularly relevant strategic interest.
If Board members do not hold Monegasque nationality, the Chairman and the majority of the Board must be domiciled in Monaco.
Board members are elected by secret ballot by the General Assembly for a term of three (3) years.
The Board meets formally once a year but its members are actively involved in many ESSI activities on an ongoing basis.
CABINET
The Board chooses a Cabinet from among its members composed of:
a) A Chairman who is responsible for:
• Representing ESSI in all acts of civil life.
• Scheduling expenditures according to the approved ESSI budget.
• Implementing decisions taken by the Board.
• Presiding, with a casting vote, over the Board and the General Assembly.
The Chairman has the responsibility for ensuring that ISESS achieves its mission through the effective and efficient management of its financial, human, and academic resources. The Chairman is charged with overall responsibility for the administration of ESSI including the implementation of policy and is responsible to the Board for the operation and management of ISESS, and for the execution of all directives of the Board.
The Chairman will submit institutional reports to the Board at its regular meeting.
b) A Vice-President who has full authority to replace the Chairman in case of absence or incapacity. The vice- president performs the tasks that may be assigned to him or her and reports the results to the Board.
c) A General Secretary in charge of the daily management of ESSI and with administrative duties such as drafting of minutes, correspondence, organization and notices of meetings, etc.
The General Secretary is responsible for the implementation of decisions taken by the Board. Generally, he or she is responsible for executing all formalities and procedures incumbent on ESSI as a Monegasque association.
The General Secretary writes the minutes of Board and General Assembly meetings and, in general, compiles all documents concerning the operation of ESSI, with the exception of accounting statements and documents.
d) A Treasurer who will oversee and control the accounting of ESSI revenue and expenditures. Additionally, the Treasurer will provide payment certificates that must be countersigned by the Chairman and handles incoming payments. The Treasurer must provide an annual financial report on the ESSI accounts for the fiscal year.
The Treasurer implements expenditures and is responsible for managing ESSI funds. He or she ensures compliance with budgetary controls and reports the results to the Board. He or she fulfills the disclosure requirements with respect to the financial information of ESSI members and reports this information to the General Assembly; as well as reporting on the annual accounts, the ISESS budget for the fiscal year approved by the Board, and providing his or her financial report.
The Treasurer monitors all the activity of the ESSI accountant, who ensures accurate bookkeeping and prepares the financial statements and necessary budgetary control elements.
At the end of the fiscal year, the ESSI accountant will ensure and approve, under the oversight of the Treasurer, the preparation of the annual accounts and the budget for the coming fiscal year.
